Payment and Invoicing Policy

Last updated: October 28, 2026

This policy explains how you pay for Graine AI, operated by Mavrix AI Private Limited (“we”, “us” or “our”): prepaid credit, invoiced accounts, taxes and the ways to pay. It forms part of our Terms of Service.

1. How You Pay

There are two ways to pay:

  • Prepaid (the default): you add credit in advance, and your usage is drawn from that balance.
  • Invoiced (by agreement): if you have a written agreement with us, typically as an enterprise customer, we extend a credit limit and invoice you every month.

2. Prepaid Accounts

Topping Up

Prepaid credit is payable in advance: top up from the Billing page of your dashboard. Top-ups are paid in Indian rupees, with GST added at checkout. The amount before GST is added to your balance, converted to US dollars (the currency of your balance and our rates) at the exchange rate at the time of payment.

How Usage Is Charged

Usage is drawn from your balance as you go. Calls are charged per minute, prorated to the second, and text chats per session of up to 5 minutes. Your rates are shown on the Billing page, and every charge is listed in its Statement.

When the Balance Runs Out

  • When your balance is zero or below, new calls, chats and campaigns stop until a top-up takes it back above zero.
  • Campaigns paused because the balance ran out then start again on their own.
  • A call already in progress is never cut off. It is charged in full, even if that takes your balance below zero, and the shortfall is settled from your next top-up.

Balance Emails

Every Admin of your workspace is emailed when the balance falls below the low-balance amount set on the Billing page, and again if calls stop because the balance has run out. Admins can change that amount, or set it to zero to turn the low-balance email off; the email when the balance runs out is always sent.

3. Invoiced Accounts

An invoiced account is set up by a written agreement with us. The terms in this section apply to invoices issued on or after October 29, 2026.

Invoices

We issue an invoice on the 1st of each month for the previous month’s usage and, in advance, for any fixed or committed fees, so no month waits to be billed. Invoices are emailed to your billing contact and are available on the Billing page of your dashboard.

Credit Limit and Interim Invoices

Every invoiced account has a credit limit, which we set. When usage not yet invoiced reaches it, we issue an interim invoice straight away, due within 15 days of its date like any other invoice. The credit limit does not limit what is owed: every amount invoiced is payable in full.

When Payment Is Due

Amounts invoiced on credit are due within 15 days of the invoice date. This period is not extended, and there is no further grace period.

Late Payment Charges

Late payment charges of 18% per annum (1.5% a month) are levied on any undisputed amount unpaid after the due date, from the due date until it is paid.

Suspension for Non-Payment

If an invoice is still unpaid once the 15 days have passed, we may suspend your workspace’s service after notifying your billing contact by email. New calls, chats and campaigns then stop until the invoice is paid. Calls already in progress are never cut off. We restore service within one business day of payment.

Disputes

If you think an invoice is wrong, tell us in writing at founders@graine.ai within 7 days of the invoice date, naming the line you dispute and the reason. Pay the undisputed part by the due date: late payment charges apply to undisputed amounts, not to a part you have disputed in time. We resolve disputes within 15 days of receiving them.

Security Deposit

We may ask for a security deposit, typically one month of expected usage, before an account is invoiced or after a late payment. It is returned, less anything owed, when the account closes.

Repeated Late Payment and Ending the Agreement

If payments are repeatedly late, we may move your account back to prepaid or lower its credit limit. If an invoice is more than 30 days overdue, we may end the agreement and recover what is due.

4. Taxes

  • Our prices exclude GST. GST is charged at the applicable rate and shown on a valid tax invoice. Late payment charges are part of the price of the service and carry GST too.
  • To claim input tax credit, have an Admin add your GSTIN on the Billing page, under Rates & tax details, so it appears on your invoices.
  • Where the law requires you to deduct TDS, you may deduct it from your payment. Send us the TDS certificate within the period the law sets.

5. Ways to Pay

  • Top-ups: from the Billing page, by card, UPI or net banking, through our payment gateway.
  • Invoices: online from the Billing page, with “Pay online” beside the invoice (card, UPI or net banking), or by bank transfer (NEFT, RTGS or IMPS) to the bank account shown on the invoice, quoting the invoice number.

6. Refunds

Returns of credit and refunds are covered by our Return Policy and by section 7 of our Terms of Service. This policy does not change them.
